1. Acceptance of Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you and kialik.com ("we", "us", "our") governing your access to and use of the Service. By creating an account, purchasing a subscription, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms.
2. The Service
We provide an NFC digital business card platform that allows you to:
- Create and customise a digital business card profile
- Share contact information via NFC tap or a unique public URL
- Track card views and tap analytics
- Manage multiple cards under one account (plan-dependent)
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.
3. Eligibility
You must be at least 13 years of age to use the Service. By using the Service, you represent that you meet this requirement and that you have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
4. Accounts
When you create an account, you agree to:
- Provide accurate, current, and complete information
- Keep your password confidential and notify us immediately of any unauthorised access
- Accept responsibility for all activity that occurs under your account
5. Subscriptions & Payments
5.1 Billing
Paid features are offered on a subscription basis (monthly or annual). By subscribing, you authorise us to charge your payment method on a recurring basis at the then-current rate. All fees are stated in the currency displayed at checkout and are exclusive of applicable taxes.
5.2 Cancellation & Refunds
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until that date. We do not offer refunds for partial billing periods except where required by law.
5.3 Price Changes
We may change subscription prices upon reasonable notice. Continued use of the Service after a price change constitutes acceptance of the new price.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Transmit spam, unsolicited communications, or malicious code
- Impersonate any person or entity or misrepresent your affiliation
- Collect or harvest personal data from other users without their consent
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Engage in any conduct that restricts or inhibits others from using the Service
We reserve the right to suspend or terminate accounts that violate these policies without prior notice.
7. User Content
You retain ownership of all content you submit to the Service ("User Content"). By submitting User Content, you represent and warrant that:
- You own or have the necessary rights to the content
- The content does not infringe any third-party intellectual property, privacy, or other rights
You grant us a worldwide, non-exclusive, royalty-free licence to host, display, and distribute your User Content solely for the purpose of providing and improving the Service.
8. Intellectual Property
The Service and its original content, features, and functionality — including but not limited to software, design, logos, and text — are and will remain the exclusive property of kialik.com and its licensors. You may not copy, modify, distribute, or create derivative works without our express written permission.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KIALIK.COM, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold harmless kialik.com and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of the Service; (b) your User Content; or (c) your violation of these Terms.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) shall survive.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which we operate, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and, where appropriate, notifying you by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
